1. Introduction
Welcome to ImmerseMe. These Terms of Use (“Terms”) govern access to and use of the ImmerseMe platform, including our website, applications, content, and services (collectively, the “Platform”).
We design ImmerseMe to meet the expectations of educators, institutions, and learners globally, with a strong focus on safety, privacy, and educational impact.
These Terms are designed to be transparent, fair, and aligned with global education and data protection standards.
By accessing or using the Platform, you agree to these Terms.
If you are using ImmerseMe on behalf of an educational institution, organisation, or other entity (“Institution”), you confirm you are authorised to bind that entity.
2. Who These Terms Apply To
These Terms apply to:
Individual users
Teachers and educators
Students
Educational institutions (K–12, higher education, vocational)
Organisations using ImmerseMe for training
Where a student is under 18, the Institution or parent/guardian is responsible for consent and supervision.
3. The Service
ImmerseMe provides an immersive language learning platform using video, AI-powered conversation tools, and learning analytics.
We may update, improve, or modify features over time to enhance the learning experience.
4. Accounts and Access
You agree to:
Provide accurate and complete information
Keep login credentials secure
Use accounts only as intended
Institutions are responsible for:
Managing user accounts
Assigning appropriate access
Ensuring authorised use
5. Acceptable Use
You must comply with our Acceptable Use Policy.
You must not:
Misuse or interfere with the Platform
Attempt unauthorised access
Upload unlawful or harmful content
Use automation, scraping, or extraction tools
We may suspend or terminate access for violations.
6. Educational Use and Institutional Responsibilities
ImmerseMe is designed for educational use.
Institutions are responsible for:
Supervising student use
Ensuring appropriate device, internet, and hardware access
Obtaining required parental or legal consents
Complying with applicable education and privacy laws
ImmerseMe provides tools to support learning but does not guarantee specific educational outcomes.
7. Access, Licensing and Payments
7.1 Trials
We may offer free trials with limited features, content, or duration.
7.2 Licensing Model
Access to the Platform is provided through licensing arrangements agreed with the customer (e.g. via quote, order form, or agreement).
Licensing may include:
Per-student licences, assigned to individual named learners; or
Device-based licences, assigned to a specific device and usable by multiple users on that device
ImmerseMe does not provide unrestricted “site-wide” licences unless explicitly agreed in writing.
7.3 Licence Use and Eligibility
Customers are responsible for ensuring licences are used in accordance with their intended model.
Per-student licences are intended for use by a single named learner
Device-based licences may be shared across multiple users on a designated device
Certain Platform features — including competitions, rankings, and individual performance tracking — require licences to be assigned to a named individual user.
Device-based or shared licences are not eligible for participation in individual competitions
To participate, a licence must be assigned to a specific student account
ImmerseMe may allow temporary reassignment of licences to support participation in events or competitions
ImmerseMe reserves the right to determine eligibility for competitions and may restrict participation where licence usage does not meet these requirements.
7.4 Billing
Fees are agreed separately (e.g. via quote, order form, or agreement).
Payment must be made in accordance with the agreed terms.
7.5 Renewals and Cancellation
Unless otherwise agreed:
Licences or subscriptions may renew automatically
Customers may cancel prior to renewal in accordance with agreed terms
8. Intellectual Property
ImmerseMe and its licensors own all rights in the Platform, including:
Content
Software
Design
Learning materials
We grant a limited, non-exclusive, non-transferable licence to use the Platform for educational purposes.
9. Data Protection and Privacy
We process personal data in accordance with our Privacy Policy and applicable laws, including FERPA, COPPA, GDPR, UK GDPR, and other applicable frameworks.
Where applicable:
The Institution is the Data Controller
ImmerseMe is the Data Processor
We:
Do not sell personal data
Do not use student data for advertising
Process data only for educational purposes
10. AI and Automated Features
ImmerseMe uses AI to support language learning.
AI features:
Provide assistive learning support
May not always be accurate or complete
Should not be relied upon as sole assessment
We:
Apply safeguards to AI use
Do not use identifiable student data to train general-purpose AI models
Use of AI features must comply with our AI Terms of Use.
11. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted or error-free access.
We may:
Perform maintenance
Update or modify features
Temporarily suspend access
12. Liability
To the extent permitted by law:
We are not liable for indirect, incidental, or consequential loss
Our total liability is limited to the fees paid in the previous 12 months
Nothing excludes rights that cannot be excluded under applicable law.
13. Indemnity
You agree to indemnify us for misuse of the Platform.
We will indemnify you for third-party claims that the Platform infringes intellectual property rights, subject to reasonable conditions.
14. Suspension and Termination
We may suspend or terminate access if:
These Terms are breached
Required for legal, security, or operational reasons
Upon termination:
Access will cease
Data handling will follow our Privacy Policy and DPA
15. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including outages, infrastructure failures, or third-party service disruptions.
16. Assignment
We may assign or transfer our rights and obligations under these Terms as part of a merger, acquisition, or business restructuring.
You may not assign your rights without our consent.
17. Entire Agreement and Order of Precedence
These Terms, together with the Privacy Policy, Acceptable Use Policy, AI Terms of Use, and any applicable Data Processing Addendum (DPA), form the entire agreement.
In the event of conflict:

18. Changes to These Terms
We may update these Terms from time to time.
Where changes are material, we will take reasonable steps to notify users.
19. Governing Law
These Terms are governed by the laws of New Zealand, unless otherwise required by applicable local laws.
